ESTABLISHING LEGAL INSTITUTION

The company can start operating after the state registration in Azerbaijan. Registration of commercial institutions is carried out by the State Tax Service under the Ministry of the Republic of Azerbaijan within 2 working days. Local Investing Limited Liability Companies may register online. There are various forms of establishing legal institution in Azerbaijan and no special rules have been established for the institutions created by foreigners. A foreign investor can also create a limited institution (representation or branch office) as well as a fully competent company. There are no restrictions on the share of foreign institutions in the country. With the exception of some licensing activities, obtaining any other permissions expect for state registration for startup is not required. Azerbaijani legislation recognizes the following commercial legal entities:
• General Partnership (GP)
• Limited Partnership (MT)
• Limited Liability Company (LLC)
• Additional Liability Company (EA)
• Joint Stock Company (Open or Closed SC)
• Cooperatives
